Role overview
The Executive Director serves both as a board member and as a senior operational leader. This position combines governance duties with hands-on executive oversight, helping steer long-term strategy while also ensuring strong day-to-day execution across critical business areas.
Board governance and strategic decision-making
The role includes active participation in board discussions and decisions on major corporate matters. The Executive Director reviews strategic plans, annual operating plans, and significant investment proposals, while also contributing to long-range planning, capital structure choices, and risk-management direction. A key part of the job is helping maintain a governance framework that is orderly, compliant, and transparent.
Business strategy and operational oversight
This position provides direction and supervision for essential business segments. The Executive Director evaluates major business targets and performance indicators, supports execution of corporate strategy across functions, and ensures that business development stays aligned with the company’s wider strategic objectives.
Major projects and capital decisions
The Executive Director reviews and monitors large investments, mergers and acquisitions, and other capital-related initiatives. The role involves assessing commercial potential, identifying risks, improving how resources are allocated, and helping ensure that major projects deliver strategic value.
Corporate governance and risk management
The position requires close attention to legal, regulatory, and supervisory obligations. The Executive Director oversees internal controls, audit processes, and compliance systems, contributes to major risk identification and response planning, and supports the company’s long-term stability and sustainable growth.
Executive collaboration and execution support
The Executive Director works closely with the CEO, CFO, COO, and other senior leaders to advance execution of strategy. The role includes participation in key business decisions, coordination of critical resources, and guidance on important operating outcomes, along with support for leadership effectiveness and organizational improvement.
External relations and strategic resource integration
Where relevant, the Executive Director may represent the company in high-level interactions with investors, government bodies, and strategic partners. This can include helping secure important external resources, building partnerships, and strengthening the company’s influence within its industry.
Qualifications
Candidates should hold a bachelor’s degree or above in Business Administration, Finance, Economics, Engineering, or a related discipline. An MBA, EMBA, or international academic background is preferred.
The role calls for more than 20 years of experience in corporate management, strategy, or the relevant industry, including at least 15 years in senior leadership positions such as Vice President, General Manager, or Business Unit Head. Experience in board-level leadership, managing complex organizations, and overseeing large-scale or multi-region operations is important.
Core capabilities
Successful candidates should bring strong strategic judgment, sharp business insight, executive-level leadership, board governance experience, solid risk and compliance awareness, and the ability to communicate effectively at senior levels while integrating key resources.
Preferred background
Experience serving on the board of listed companies or large corporate groups is desirable. Additional value will come from exposure to mergers and acquisitions integration, capital operations, corporate restructuring, international business, multinational management, or government and external stakeholder relations.
Success measures
Performance may be assessed through achievement of corporate strategic targets, return on investment from major projects, effectiveness of governance and risk controls, and improvements in growth and profitability.
